Overview
Disputes over internal control of a company, partnership, or society are rarely only about money. They engage governance, trust, and the working relationships that built the organization in the first place, and the wrong early step can shift control before the legal issues are ever tested.
We act for shareholders, partners, directors, officers, members, and the corporations, partnerships, and societies themselves in disputes involving shareholder oppression, partnership breakdowns and buyouts, breach of fiduciary duty, misuse of corporate assets, and governance disputes within nonprofit societies and organizations built around their members.
We approach these disputes the way we approach any contest for control. We identify who has the authority to act, what the governing documents permit, and where the real leverage lies, before recommending next steps. That discipline matters most when the parties know each other well and the dispute is as much about relationships as it is about rights.
Our experience includes successfully defending a shareholder oppression claim through a trial that lasted 17 days and a subsequent appeal affirming the result, obtaining an interlocutory injunction prohibiting a major shareholder and former CEO from competing with the company in a prominent dispute involving Ignite International Brands and Dan Bilzerian, and acting in a prominent governance dispute involving control of a national sport governing body.
